This End User License Agreement (“EULA”) is entered into by and between Zubu.AI, Inc. (“Zubu,” “Zubu.AI,” “we,” “us,” or “our”) and the person or entity downloading, installing, enabling, accessing, or using any Zubu connector, integration, API client, sync component, plug-in, utility, or related software or connection component made available by Zubu (collectively, the “Connector Software”).
This EULA governs your use of the Connector Software. Your access to and use of Zubu’s website, hosted platform, subscriptions, and related online services are governed by the applicable Terms of Service, Order Form, Master Services Agreement, and other applicable agreements.
By downloading, installing, enabling, accessing, or using the Connector Software, you agree to this EULA. If you are using the Connector Software on behalf of a company, law firm, government entity, or other organization, you represent and warrant that you have authority to bind that entity to this EULA.
If you do not agree to this EULA, do not download, install, enable, access, or use the Connector Software.
1. Eligibility and Authority
You must be at least 18 years old and able to form a binding contract to use the Connector Software. If you are using the Connector Software on behalf of a company, law firm, government entity, or other organization, you represent and warrant that you have full authority to bind that entity to this EULA.
2. Scope and Relationship to Other Agreements
This EULA applies only to the Connector Software and related documentation made available by Zubu.
If you or your organization have entered into a separate written agreement with Zubu, including a Master Services Agreement, Order Form, or similar enterprise agreement, that agreement will control to the extent of any conflict with this EULA.
Your use of Zubu’s website, hosted platform, subscriptions, and related online functionality is governed by the applicable Zubu Terms of Service or enterprise agreement, not solely by this EULA.
3. License Grant
Subject to your compliance with this EULA and all applicable agreements with Zubu, Zubu grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license during the applicable subscription or authorized use period to:
download, install, access, execute, and use the Connector Software; and
permit your authorized employees, contractors, and agents to use the Connector Software,
solely as necessary to connect authorized third-party cloud systems, repositories, platforms, or data sources to Zubu’s services for your internal business purposes.
The Connector Software is licensed, not sold.
4. Authorized Use
You may use the Connector Software only:
in connection with your valid use of Zubu services;
for data sources, accounts, repositories, and environments that you own, control, or are otherwise authorized to access;
in accordance with the documentation we provide;
in compliance with all applicable laws, regulations, contracts, and third-party platform terms; and
within any applicable usage, account, technical, or subscription limits.
You are responsible for ensuring that you have the necessary rights and permissions to connect, access, collect, sync, transmit, preserve, or process data through the Connector Software.
5. Restrictions
You may not, and may not permit any third party to:
copy, modify, adapt, translate, distribute, sell, lease, sublicense, assign, or transfer the Connector Software except as expressly permitted by this EULA;
reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive source code, trade secrets, algorithms, or underlying structure from the Connector Software, except to the limited extent such restriction is prohibited by law;
use the Connector Software to build, train, improve, benchmark, or support a competing product or service;
remove, alter, or obscure any copyright, trademark, or proprietary notices;
bypass or disable security protections, access controls, authentication, rate limits, or technical restrictions;
use the Connector Software to access systems or data without authorization;
upload, transmit, or introduce malware, malicious code, or harmful content;
use the Connector Software in a manner that interferes with third-party services, data sources, APIs, or platforms;
use the Connector Software in violation of any third-party terms applicable to the connected service; or
use the Connector Software for unlawful, fraudulent, deceptive, abusive, or infringing purposes.
6. Third-Party Platforms and Cloud Services
The Connector Software may enable connectivity with third-party cloud platforms, applications, APIs, storage providers, messaging systems, productivity suites, or repositories (“Third-Party Platforms”).
You acknowledge and agree that:
your use of Third-Party Platforms is governed by your agreements with those providers;
Zubu does not own or control Third-Party Platforms;
availability, compatibility, performance, and continued integration with Third-Party Platforms may change without notice due to actions by those third parties;
Zubu is not responsible for outages, access restrictions, API changes, throttling, permission changes, deprecations, or failures caused by Third-Party Platforms; and
you are solely responsible for configuring and maintaining valid credentials, permissions, and lawful access to Third-Party Platforms.
7. Credentials and Access Tokens
To use certain Connector Software, you may need to provide credentials, access tokens, OAuth permissions, API keys, or other authentication mechanisms for Third-Party Platforms.
You are responsible for:
obtaining and maintaining those credentials lawfully;
limiting access to authorized personnel;
ensuring that credentials and tokens remain accurate and current; and
promptly revoking or rotating credentials where appropriate.
You authorize Zubu to use such credentials or tokens solely as necessary to provide the authorized connector functionality and related services.
8. Data and Permissions
As between you and Zubu, you retain all rights in the data you authorize the Connector Software to access, transmit, sync, collect, preserve, or process (“Connector Data”), subject to the agreements governing Zubu’s hosted services.
You represent and warrant that:
you have all rights, authorizations, and consents necessary to allow the Connector Software and Zubu services to access and process Connector Data;
your use of the Connector Software does not violate privacy laws, employment laws, contractual obligations, court orders, internal policies, or third-party rights; and
you are solely responsible for determining what data sources and accounts should be connected, what scope of data should be accessed, and what permissions should be granted.
Zubu does not make legal judgments for you regarding preservation scope, collection strategy, retention obligations, discovery sufficiency, or compliance decisions.
9. Updates and Changes
Zubu may from time to time provide patches, bug fixes, updates, upgrades, releases, modifications, or replacements for the Connector Software (“Updates”).
You agree that Zubu may:
automatically deploy or require Updates;
modify the Connector Software to maintain compatibility, security, or functionality;
change or discontinue specific connector features, integrations, or supported Third-Party Platforms; and
require minimum versions for continued operation.
Updates are part of the Connector Software and are governed by this EULA unless accompanied by separate license terms.
10. Support
Unless otherwise expressly stated in a separate written agreement, Zubu is not obligated to provide any particular level of support, maintenance, response time, uptime, or service level for the Connector Software.
Any support or maintenance provided is subject to the applicable documentation, subscription, Order Form, or separate support terms.
11. Ownership
The Connector Software, including all copies, Updates, modifications, documentation, interfaces, designs, code, structure, and related intellectual property rights, is and remains the exclusive property of Zubu and its licensors.
Except for the limited license expressly granted in this EULA, no rights are granted to you by implication, estoppel, or otherwise.
12. Feedback
If you provide suggestions, ideas, feature requests, improvements, comments, or other feedback regarding the Connector Software (“Feedback”), you grant Zubu a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use, modify, reproduce, disclose, distribute, and otherwise exploit that Feedback for any lawful purpose without restriction or compensation.
13. Confidentiality
You may receive or access non-public information relating to the Connector Software, documentation, technical specifications, security features, or product plans that is confidential in nature (“Zubu Confidential Information”).
You agree to:
use Zubu Confidential Information only as necessary to exercise your rights under this EULA;
protect it using reasonable care; and
not disclose it to any third party except to authorized personnel with a need to know and who are bound by confidentiality obligations.
This section does not apply to information that becomes public through no fault of yours, was lawfully known by you without restriction, was lawfully received from a third party without restriction, or was independently developed without use of Zubu Confidential Information.
14. Privacy and Data Processing
Zubu’s collection and use of personal information in connection with the Connector Software is described in the Zubu Privacy Policy at https://www.zubu.ai/privacy-policy, which is incorporated into this EULA by reference.
Zubu will use Connector Data only as necessary to provide, maintain, support, and secure the authorized connector functionality and related services, to comply with law, and as otherwise permitted by your agreement with Zubu. Connector Data is Customer Data for purposes of the Zubu Terms of Service and the Data Processing Addendum. If and to the extent Zubu processes personal information on your behalf, that processing is governed by the Zubu Data Processing Addendum at https://www.zubu.ai/dpa, which is incorporated into this EULA by reference, unless you and Zubu have signed different data processing terms.
15. Automated and AI-Assisted Features
The Connector Software and related Zubu services may include features that use machine learning or other artificial intelligence techniques, for example to classify documents, identify custodians and data sources, suggest scope, or summarize content (“AI Features”).
You acknowledge and agree that:
Zubu’s commitments regarding AI Features, including its commitments on the use of your data to train models and on the use of third-party AI providers, are those stated in the Zubu Privacy Policy and your agreement with Zubu;
output of AI Features is generated automatically, may be incomplete or inaccurate, and must be reviewed by your authorized personnel before you rely on it for any legal or operational decision;
AI Features do not provide legal advice and do not make legal determinations for you;
if you connect the Connector Software or Zubu services to a third-party AI tool or assistant, data flows to that tool under your configuration and that third party’s terms, and not under Zubu’s commitments; and
you may not use the Connector Software, its documentation, or any output of AI Features to train, fine-tune, evaluate, or benchmark an artificial intelligence model, or attempt to extract or derive the models, prompts, or logic behind AI Features.
16. Term and Termination
This EULA takes effect when you first download, install, enable, access, or use the Connector Software and continues until terminated.
Your license under this EULA ends automatically when your subscription or other authorized use period for the related Zubu services expires or terminates.
Zubu may suspend or terminate this EULA or your use of the Connector Software if:
you materially breach this EULA and fail to cure within 30 days after notice, or immediately if the breach is incurable;
your use poses a security risk to Zubu, a Third-Party Platform, or any third party;
fees for the related Zubu services are past due and remain uncured after notice;
Zubu is required to do so by law or by a Third-Party Platform; or
Zubu discontinues the Connector Software.
You may terminate this EULA at any time by ceasing all use of the Connector Software and disconnecting or uninstalling it. Termination of this EULA does not by itself terminate your subscription or relieve you of any payment obligation under your agreement with Zubu or an authorized Zubu partner.
17. Effect of Termination
Upon expiration or termination of this EULA:
your license and all rights to use the Connector Software end;
you must stop using the Connector Software, disconnect or uninstall it, and delete all copies in your possession or control;
you should revoke any credentials, tokens, or permissions you granted for the Connector Software within the applicable Third-Party Platforms; and
Zubu will handle Connector Data and stored credentials or tokens in accordance with your agreement with Zubu, the Zubu Privacy Policy, and applicable law.
Sections 5, 8, 11, 12, 13, 15, 17, 18, 19, 20, 21, 25, 26, and 29 survive expiration or termination of this EULA.
18. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN A SEPARATE WRITTEN AGREEMENT BETWEEN YOU AND ZUBU, THE CONNECTOR SOFTWARE, ITS DOCUMENTATION, AND ALL RELATED CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUBU DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR RESULTS.
ZUBU DOES NOT WARRANT THAT THE CONNECTOR SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, THAT IT WILL REMAIN COMPATIBLE WITH ANY THIRD-PARTY PLATFORM, OR THAT ALL DATA WILL ALWAYS BE ACCESSED, COLLECTED, PRESERVED, TRANSMITTED, OR RECOVERED WITHOUT ERROR.
ZUBU DOES NOT PROVIDE LEGAL ADVICE AND DOES NOT WARRANT OR GUARANTEE THAT USE OF THE CONNECTOR SOFTWARE WILL SATISFY ANY LEGAL OBLIGATION, DISCOVERY REQUIREMENT, PRESERVATION DUTY, REGULATORY REQUIREMENT, OR LITIGATION STRATEGY.
19. Indemnification by You
You will defend, indemnify, and hold harmless Zubu and its affiliates, officers, directors, employees, contractors, licensors, and agents from and against any third-party claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
Connector Data, or your lack of any right, authorization, or consent needed to connect, access, or process it;
your use of the Connector Software in violation of this EULA, applicable law, or the terms of any Third-Party Platform;
your infringement or violation of any third-party rights; or
your negligence, misconduct, or unauthorized instructions.
20. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUBU AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS INTERRUPTION, LOST DATA, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZUBU’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS EULA OR THE CONNECTOR SOFTWARE WILL NOT EXCEED THE GREATER OF:
the amount paid or payable by you for the related Zubu services, whether to Zubu or to an authorized Zubu partner, during the twelve (12) months preceding the event giving rise to liability; or
one hundred U.S. dollars (US $100), if no such payment obligation exists.
The limits in this section and the limits in the Zubu Terms of Service or your other agreement with Zubu are a single combined limit and are not cumulative. Nothing in this EULA limits liability to the extent such limitation is prohibited by law.
21. Authorized Partners and Resellers
If you obtained access to the Connector Software or the related Zubu services through an authorized Zubu reseller or other partner (a “Partner”):
this EULA applies directly between you and Zubu;
the price you pay, payment terms, and any services the Partner provides are governed by your agreement with the Partner;
the Partner is not Zubu’s agent and has no authority to modify this EULA or to make any representation, warranty, or commitment on Zubu’s behalf, and Zubu is not bound by any that the Partner makes;
Zubu may suspend or end your access if Zubu does not receive payment for your subscription; and
Zubu and the Partner may exchange account, usage, and support information about you as needed to provide and support the Connector Software and related services.
22. Export Compliance
You may not access or use the Connector Software in violation of U.S. export control, sanctions, or similar laws. You represent and warrant that you are not prohibited from receiving the Connector Software under applicable law.
23. Government Users
If you are a U.S. government entity, the Connector Software and its documentation are provided as commercial computer software and commercial computer software documentation, and any use, duplication, or disclosure is subject to this EULA and applicable procurement law.
24. Changes to this EULA
We may update this EULA from time to time. If we make material changes, we will post the updated EULA on our website and update the “Last Updated” date above. If required by law, we may also provide additional notice.
By continuing to use the Connector Software after the updated EULA becomes effective, you agree to the revised EULA.
25. Governing Law and Venue
This EULA and any dispute arising out of or relating to this EULA or the Connector Software are governed by the laws of the State of California, without regard to conflict-of-laws rules.
Any action or proceeding arising out of or relating to this EULA or the Connector Software must be brought exclusively in the state or federal courts located in San Francisco County, California, and each party consents to the jurisdiction and venue of those courts.
26. Injunctive Relief
You acknowledge that a breach of the sections concerning restrictions, ownership, or confidentiality may cause irreparable harm for which monetary damages may be inadequate. Zubu may seek injunctive or equitable relief in addition to any other remedies available at law or in equity.
27. Notices
We may provide notices to you by email, through the Connector Software or related Zubu services, or by posting them on our website.

28. Assignment; Force Majeure
You may not assign or transfer this EULA or any of your rights or obligations under it without Zubu’s prior written consent, except together with your subscription in connection with a merger, acquisition, or sale of substantially all of your assets. Zubu may assign this EULA without restriction.
Neither party will be liable for delays or failures to perform caused by circumstances beyond its reasonable control, including natural disasters, acts of God, war, terrorism, civil unrest, labor disputes, pandemics, internet failures, telecommunications failures, cyberattacks, failures of Third-Party Platforms, or governmental action.
29. Entire Agreement; Severability; Waiver
This EULA, together with the Zubu Privacy Policy and any documents expressly incorporated by reference, constitutes the entire agreement between you and Zubu regarding the Connector Software, subject to Section 2 where a separate written agreement applies.
If any provision of this EULA is held unenforceable, the remaining provisions will remain in full force and effect.
A failure to enforce any provision of this EULA is not a waiver of that provision or any other provision.
